Terms of use
These terms ("Terms") govern use of the RegiSentinel web application, APIs, documentation, and related services (collectively, the "Services") operated by RegiSentinel, Inc. ("Company," "we," or "us"). By accessing the Services, you ("User" or "you") agree to comply with these Terms and with applicable laws and regulations.
Intellectual property ownership
The Services — including all software, algorithms, models, data pipelines, user interfaces, designs, documentation, trademarks, and content created by the Company — are the exclusive property of RegiSentinel, Inc. and are protected by United States and international intellectual property laws, including copyright, patent, trade secret, and trademark law. All rights not expressly granted herein are reserved by the Company.
License grant
Subject to these Terms, the Company grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services solely for your internal business purposes during the term of your subscription or trial. This license does not convey any ownership interest in the Services or any underlying intellectual property.
Restrictions
You agree not to:
- Copy, modify, distribute, sell, lease, or create derivative works based on the Services or any part thereof;
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or data structures of the Services;
- Remove, alter, or obscure any proprietary notices, labels, or markings on the Services;
- Use the Services to build a competing product or service;
- Share access credentials or allow unauthorized third parties to access the Services;
- Misuse the Services, including attempting to breach security, overload systems, or access data you are not authorized to view.
Your organization may impose additional policies; those apply to you where applicable.
User content & feedback
You retain ownership of any data or content you submit to the Services. If you provide feedback, suggestions, or ideas about the Services, you grant the Company a perpetual, irrevocable, royalty-free, worldwide license to use, modify, and incorporate such feedback into the Services without obligation to you.
No professional advice
The Services provide informational tools over public or licensed materials. Output is generated automatically and may be incomplete or incorrect. Nothing in the Services constitutes legal, regulatory, compliance, tax, or investment advice. You remain solely responsible for decisions and filings.
Disclaimer of warranties
The Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. The Company does not warrant that the Services will be uninterrupted, error-free, or free of harmful components.
Limitation of liability
To the maximum extent permitted by applicable law, RegiSentinel, Inc. and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or related to your use of the Services, regardless of the theory of liability.
Availability & changes
The Services may change or be unavailable for maintenance. Features and data coverage depend on your deployment and configuration. We reserve the right to modify these Terms at any time. Continued use of the Services after changes constitutes acceptance of the updated Terms.
Governing law
These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of laws principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in New York County, New York.
